1. Definitions

1.1. Platform – A virtual marketplace located on the Ülemiste City website through which merchants can present offers for their products and services to companies operating in Ülemiste City.
1.2. Merchant – A company that places its product and/or service offer on the platform. The merchant can be a company operating within Ülemiste City or an external company.
1.3. Offer – An introduction of a service or product by the merchant on the platform, containing discounts directed towards companies operating in Ülemiste City. The discount does not have to be a reduced price; it can also include, for example, a free additional service/gift, more personalized/faster customer service, better payment terms, etc.
1.4. Client – A company operating in Ülemiste City.
1.5. Platform Administrator – AS Mainor

2. General Terms

2.1. The Ülemiste City B2B Offers Platform is designed for presenting offers targeted at companies operating in Ülemiste City. The main goal is to promote collaboration among businesses within the city, but offers from external companies are also welcome for products and services not offered within the city. 2.2. The platform administrator is not a party to transactions conducted through the platform. The responsibility for product and service delivery, quality, etc., lies with the Merchant.

3. Merchant’s Rights and Obligations

3.1. By posting an offer on the platform, the Merchant agrees to all the Platform’s terms of use.
3.2. The Merchant undertakes to provide only accurate and correct information about the offered product or service.
3.3. Offered products or services and the materials used for their promotion must comply with all applicable laws and good practices and must not infringe upon the proprietary or non-proprietary rights of third parties.
3.4. The Merchant undertakes to sell products and services under the conditions specified in the active offer (price, delivery time, quality, etc.).
3.5. The Merchant undertakes to inform the platform administrator immediately by email if it becomes apparent that the information provided in the offer has become inaccurate, unlawful, etc.
3.6. The Merchant undertakes to pay for the use of the platform according to the platform’s price list and submitted invoices. Adding offers for merchants operating in Ülemiste City is free of charge.

4. Platform Administrator’s Rights and Obligations

4.1. The advertising material displayed on the platform is provided by the merchant, and the platform administrator is not responsible for the accuracy and legality of the data.
4.2. The platform administrator has the right to restrict the merchant’s access to the platform and remove the offer from the platform if the merchant violates these terms of use.
4.3. The platform administrator has the right to temporarily interrupt the merchant’s and users’ access to the platform if it is necessary for updates, maintenance work, etc.
4.4. The platform administrator has the right to prioritize offers from merchants operating in Ülemiste City and, in overlapping areas, to refuse to insert offers from external merchants.
4.5. The platform administrator is not responsible for any damages arising from the use of the platform or the inability to use it, including lost profits.
4.6. The platform administrator has the right to unilaterally modify the platform’s terms of use and the service price list. The modified terms of use will be published on the platform’s website and will become effective from the date of publication on the website.
